We advised a long-standing client on the ongoing reorganisation and restructure of its UK group of companies following the latest in a series of acquisitions. The reorganisation process began soon after completion of the acquisition. In conjunction with the client team, we carried out a comprehensive review of the assets of the target business so that we could identify the procedural steps to be carried out before completion.
After the transfer of the business and assets had been completed, we dealt with a reduction of capital of the transferor company, payment of a dividend to the parent company and an application for the voluntary strike-off of the transferor company. This was a complex matter, which required us to work closely not only with our client’s team, but also to liaise with the client’s accountants and tax advisers, its property consultants and its company secretarial services provider.
