We were instructed by our client, a leading international manufacturer and distributor of vehicle parts and accessories, to negotiate a framework agreement with its customer, a national vehicle hire company for the provision of goods and services to the customer’s network of vehicle maintenance businesses. The agreement was onerous and one-sided, specifically in relation to restrictive covenants, limitation of liability, termination and exclusivity provisions.
We drafted and negotiated the form of the service agreement to be entered by our client with the individual entities of the customer’s maintenance network incorporated the client’s terms and conditions for its particular products and services, and negotiated more balanced terms generally.
