We were instructed by a company with a national reputation for warehousing and logistics, to advise on and negotiate a substantial agreement offered to them by an online retailer, for delivery of products to their customers throughout the country.
We advised on the terms of the agreement concerning price structure, service levels, limitation of liability, intellectual property and rights to terminate.
Limitation of liability in particular was the subject of detailed negotiation, not only as to caps on liability, but also stringent conditions which would need to be met by the customer to establish liability upon our clients.
This complex agreement was successfully negotiated and signed in accordance with the client’s intentions and timetable.
